Event Services Agreement
This Agreement is entered into between [Service Provider — "Novex tenant"] and [Client], on the date of last signature.
1. Services
The Service Provider shall plan, produce, and operate [event name] (the "Event") on [date] in [city, KSA], in accordance with the scope of work attached as Schedule A.
2. Fees and payment
Total fee: SAR [amount], exclusive of 15% VAT. Payment schedule:
- 50% on signature
- 30% 14 days before the Event
- 20% within 14 days of the post-event report
Late payments accrue 1.5% per month or the legal maximum, whichever is lower.
3. Change orders
Any change to scope, headcount, or date is documented as a change order priced before execution. Changes within 14 days of the Event are subject to a 15% expedite premium.
4. Client responsibilities
The Client shall:
- approve creative, run-of-show, and supplier shortlists by the agreed deadlines
- provide branding assets, speaker confirmations, and attendee data
- secure any required regulatory approvals (e.g. GEA permit) when the activity falls under its licence
5. Intellectual property
- Pre-existing IP remains with the originating Party
- Bespoke creative produced under this Agreement transfers to the Client on full payment
- The Service Provider may use anonymised footage and case-study material for portfolio purposes
6. Confidentiality and data
The Parties shall keep confidential information confidential under the terms of the mutual NDA executed separately. Personal data of attendees and staff is processed under PDPL.
7. Liability
Each Party's aggregate liability under this Agreement is capped at the total fees paid in the prior 12 months. Neither Party is liable for indirect or consequential losses. Caps do not apply to confidentiality breaches, gross negligence, or wilful misconduct.
8. Force majeure
Neither Party is liable for delays caused by events outside its reasonable control (natural disaster, government order, war, pandemic). Affected Party gives notice within 5 business days and the Parties cooperate on rescheduling or pro-rata refunds.
9. Termination
Either Party may terminate for material breach uncured within 15 days of written notice. On termination, the Service Provider is paid for work delivered and committed third-party costs incurred up to that date.
10. Governing law
Kingdom of Saudi Arabia. Disputes settled by the competent commercial court in [city].
