Mutual Non-Disclosure Agreement
This Agreement is entered into on [date] between [Disclosing Party] and [Receiving Party], collectively the "Parties".
1. Purpose
The Parties wish to share confidential information in connection with [project / event / commercial discussion] (the "Purpose") and agree to protect that information under the terms below.
2. Definition of Confidential Information
"Confidential Information" means any non-public information disclosed by one Party to the other, in any form, including pricing, supplier lists, attendee data, strategic plans, technical specifications, and any information marked or reasonably understood to be confidential.
3. Obligations
The Receiving Party shall:
- use Confidential Information only for the Purpose
- protect it with at least the same care it uses for its own confidential information
- restrict access to employees, contractors, and advisors who need to know and are bound by equivalent obligations
- not copy, reverse-engineer, or disclose to any third party without prior written consent
4. Exclusions
This Agreement does not cover information that is or becomes public through no fault of the Receiving Party, was lawfully known before disclosure, or is independently developed without reference to the Confidential Information.
5. Term
Obligations under this Agreement remain in force for three (3) years from the date of disclosure, except for trade secrets and personal data, which remain protected for as long as they retain their status.
6. Personal data
Where Confidential Information includes personal data, the Parties shall comply with the Personal Data Protection Law of the Kingdom of Saudi Arabia (PDPL) and implement appropriate technical and organisational measures.
7. Return or destruction
On written request, the Receiving Party shall return or destroy all Confidential Information within fifteen (15) business days and certify destruction in writing.
8. Governing law and jurisdiction
This Agreement is governed by the laws of the Kingdom of Saudi Arabia. Disputes shall be referred to the competent commercial court in [Riyadh / Jeddah].
